Terms and Conditions (Regulamin Sklepu)

  • 1. General Provisions

    1.1. These Terms and Conditions govern the rules of using the UA Acoustics online store available at https://ua-acoustics.com.

    1.2. The seller and administrator of the store is ATB-Sound sp. z o.o., a company registered in Poland.

  • 2. Definitions

    Customer: Any physical person, legal entity, or organizational unit making a purchase in the Store.

    Consumer: A physical person making a purchase not directly related to their business or professional activity.

    Quasi-Consumer (Entrepreneur with Consumer Rights): Under Polish law, a physical person concluding a contract directly related to their business activity (e.g., sole proprietorship / JDG), when the contract does not have a professional character for that person. Quasi-consumers are granted the same rights regarding withdrawal and warranty as standard Consumers.

    B2B Customer: A Customer making a purchase directly related to their business and professional activity.

    Product: Acoustic panels, foam, bass traps, PET felt products, and other physical goods available in the Store.

  • 3. Order Processing and Sourcing

    3.1. Orders can be placed 24 hours a day, 7 days a week via the website.

    3.2. To place an order, the Customer must add Products to the cart, provide shipping details, and choose a payment method.

    3.3. The sales contract is concluded when the Seller confirms the receipt and acceptance of the order.

    3.4. Manufacturing and Dispatch: Products sold by UA Acoustics are manufactured by and shipped directly from our manufacturing partners in Ukraine (outside the European Union). Unless a product is explicitly labeled as "Shipped from Poland" or "EU Stock" at the time of purchase, all orders are dispatched from our manufacturing partners in Ukraine (outside the European Union). The Customer acknowledges and accepts that Ukraine is the default country of origin for all shipments unless stated otherwise.

  • 4. Prices, Payments, and Reviews

    4.1. All prices are presented in the selected currency. For deliveries within the EU, prices include applicable VAT unless stated otherwise.

    4.2. The Seller reserves the right to change Product prices, but such changes will not affect orders already placed.

    4.3. Reviews: The Seller provides access to Product reviews submitted by Customers. All reviews undergo internal moderation before publication to ensure they do not violate the law, contain spam, or use offensive language. The Seller verifies that published reviews come from Consumers who have actually purchased the Product by matching the reviewer's details with internal order records.

  • 5. Delivery, Customs, and Import Taxes

    5.1. Delivery costs and estimated shipping times are calculated at checkout based on the destination and order size.

    5.2. Import Duties and VAT: For shipments originating from Ukraine and delivered to destinations within the European Union or other international locations, the Customer acts as the importer of record.

    5.3. Unless explicitly stated otherwise at checkout, the Customer is solely responsible for paying any applicable import duties, local VAT, and customs clearance fees imposed by the destination country's authorities upon delivery.

    5.4. The Seller is not responsible for any shipping delays caused by customs clearance processes. If a Customer refuses to pay import taxes and the package is returned, the return shipping costs will be deducted from the Customer's refund.

  • 6. Right of Withdrawal (For Consumers & Quasi-Consumers) & Returns

    6.1. In accordance with EU consumer protection laws, a Consumer has the right to withdraw from the contract within 14 days without giving any reason.

    6.2. The withdrawal period expires 14 days after the day the Consumer (or a designated third party) acquires physical possession of the goods.

    6.3. To exercise this right, the Consumer must inform the Seller of their decision by a clear written statement (e.g., via email) before the deadline.

    6.4. Designated Return Hub: To make the return process as easy and cost-effective as possible for our European customers, all returns must be sent to our local Return Hub at the following address:

    6.5. The direct cost of returning the goods to the Polish Return Hub is borne by the Consumer.

    6.6. Refund Withholding: The Seller will refund the payment within 14 days of being informed of the withdrawal. However, the Seller may withhold the refund until the goods have been received back or the Consumer has supplied evidence of having sent back the goods, whichever is the earliest.

    6.7. Exceptions (Custom Orders): Custom-made, personalized, or heavily modified items (e.g., panels with custom CNC-cut patterns, non-standard dimensions requested by the Customer) are exempt from the right of withdrawal and cannot be returned.

  • 7. Complaints and Warranty (Conformity of Goods)

    7.1. The Seller is obliged to deliver Products free of physical and legal defects (in conformity with the contract).

    7.2. If a Product is defective, the Consumer has the right to file a complaint requesting repair, replacement, a price reduction, or a refund under the statutory rights.

    7.3. The Seller will respond to the Consumer's complaint within 14 days of its receipt.

    7.4. For B2B Customers, the Seller's liability under the statutory warranty (rękojmia) is entirely excluded.

  • 8. Final Provisions

    8.1. The Seller reserves the right to amend these Terms and Conditions for important legal or operational reasons.

    8.2. Any disputes arising from sales contracts between the Seller and Consumers will be resolved by the competent ordinary courts. Consumers also have the right to use the EU Online Dispute Resolution (ODR) platform: http://ec.europa.eu/consumers/odr/.

    8.3. Any disputes arising between the Seller and a B2B Customer shall be settled by the court competent for the Seller's registered office.
